Immaculate Conception High School of Montclair was incorporated as a nonprofit
corporation and certified as such on June 22, 2004.
Under the terms of the Certification of Incorporation of Immaculate Conception High School there are five (5) Members of the Corporation defined with certain authority in the governance of the school. They are: Archbishop of Newark, Vicar General of Archdiocese of Newark, Vicar for Education of Archdiocese of Newark, Chancellor of Archdiocese of Newark, and the Superintendent of Schools of the Archdiocese of Newark.
The Certification of Incorporation also calls for the establishment of a Board of Trustees consistent with policies, procedures, guidelines, regulations, and best practices recognized by the Archdiocesan of Newark office of Catholic schools.
The Immaculate Conception Board of Trustees is officially a board of "limited jurisdiction".
Under the guidance of the Archdiocese of Newark, the Board has as its primary
responsibilities:
Working in close collaboration with the Head of Schools, the Board shall formulate policies
and plans that will enable the school to reach its agreed-upon goals as a Catholic college
preparatory secondary school and remain a vibrant force well into the future.
The Immaculate Conception Board allows for up to 19 voting members in addition to three (3) ex-
officio members who do not have voting rights.

Board Composition:
The Immaculate Conception Board allows for up to 19 voting members in addition to
three (3) ex-officio members who do not have voting rights. The Board also currently has 7
standing committees.

members may be drawn from outside the board membership.
