Immaculate Conception High School of Montclair was incorporated as a nonprofit
corporation and certified as such on June 22, 2004.

Under the terms of the Certification of Incorporation of Immaculate Conception High School there are five (5) Members of the Corporation defined with certain authority in the governance of the school. They are: Archbishop of Newark, Vicar General of Archdiocese of Newark, Vicar for Education of Archdiocese of Newark, Chancellor of Archdiocese of Newark, and the Superintendent of Schools of the Archdiocese of Newark.

The Certification of Incorporation also calls for the establishment of a Board of Trustees consistent with policies, procedures, guidelines, regulations, and best practices recognized by the Archdiocesan of Newark office of Catholic schools.

The Immaculate Conception Board of Trustees is officially a board of "limited jurisdiction". 
Under the guidance of the Archdiocese of Newark, the Board has as its primary
responsibilities:

1. Ensuring that the school is true to its ministry of Catholic school education.
2. Managing effective planning and resolution of financial, school and policy issues to ensure future sustainability.

Working in close collaboration with the Head of Schools, the Board shall formulate policies
and plans that will enable the school to reach its agreed-upon goals as a Catholic college
preparatory secondary school and remain a vibrant force well into the future.
The Immaculate Conception Board allows for up to 19 voting members in addition to three (3) ex-
 officio members who do not have voting rights.

Board Composition

               The Immaculate Conception Board of Trustees allows for up to 19 voting members in addition to three (3) ex-officio members who do not have voting rights. The Board also currently has 7 standing committees.
 

BOARD COMMITTEES

       The standing committees and the name of the committee Chairperson and school liason are below. Committee chairpersons must be members of the board, although committee
members may be drawn from outside the board membership.

EXECUTIVE COMMITTEE CHAIR – ADRIANA MAZZA
SCHOOL LIASION – Mr. Charles Syby, Principal

• The Executive committee shall act in the name of the Board and advise the Chair and the Head of School on matters that need the attention of the Board between meetings when it is not possible to have a meeting of the full Board

• The Governance and Nominating committee shall submit recommendations to the Board for members to be appointed by the Archbishop or designee.

• Strategic Planning Committee: The strategic planning committee shall provide leadership for and engage the Board and the school community in an ongoing process of short and long term strategic planning to provide for and ensure the future of the school.

FINANCE COMMITTEE CHAIR – JEANNE SMITH

• Finance Committee: The finance committee shall oversee the annual budget process and monitor the fiscal practices and policies of the school in cooperation with the Head of School.

• Building & Grounds Committee: The buildings and grounds committee shall plan for and provide for the long-range and short-range needs of the physical plant and property.

ADMISSIONS AND ADVANCEMENT COMMITTEE CHAIR – ARTHUR MARTIN
SCHOOL LIASION – Mr. Charles Syby, Principal, Mr. Justin Gonzalez, Director of Admissions

• Advancement, Admissions, and Marketing Committee - Responsible for overseeing the school’s revenue and non-revenue activities, advising the board on the financial goals of these activities and making recommendations relating to fundraising to support growth and long-term sustainability. Coordinate and implement a marketing plan which targets admissions and alumni relations.

• Academic & Student Life - Responsible for reviewing and assessing the overall school performance. Makes recommendations for additions or changes to programs to ensure the goal of academic excellence is being met and the Catholic identity of the student body is developed. May also assist in relationship building between the ICHS student body and the surrounding communities
